DATASYS s.r.o. Licence Agreement

Product: FaxChange 6.0, VoiceChange 4.0, MobilChange 4.0,

1.
This
Licence Agreement (“Agreement”) is an Agreement between you, the User of the
Software Product (“User”) and DATASYS s.r.o., with its registered office in
Praha (Prague) 3, Jeseniova 2829/20, IČ (Registration Number): 61249157,
(“DATASYS”), and applies to the DATASYS Software Product specified above, which
includes computer software, the relevant media and printed material (“Software
Product”). By installing, copying or otherwise using the Software Product, you
confirm that you agree to the terms and conditions of this Agreement and that
you are bound by these terms and conditions. If you do not agree to the terms
and conditions of this Agreement, promptly return the unused Software Product
to the location from which you have obtained it and you will receive a full
refund.

This
Agreement allows you to use the Software Product, according to the provisions
stated below, for as long as this Agreement is valid. The Software Products to
which this Agreement applies are author’s works protected by the provisions of
Act No. 121/2000 Coll. (the Copyright Act).
3.
By accepting the Licence terms and
conditions, the User is granted a personal, non-transferable, non-exclusive
and, provided that the User adheres to the Licence terms and conditions, a
time-unlimited licence to use the Software Product for the User’s own internal
needs (“Licence”).
User’s Rights and Obligations
4.
The
User may install, use, connect, display or run the Software Product on a single
computer, such as a workstation, a terminal or other equipment (“Computer
Workstations”). If the User is a holder of more than one client Licences, as
many users are allowed to use the Software Product as the number of client
Licences.
5.
The
User may store or install the Software Product on a storage device, such as a
network server, used only to install or run the Software Product on other
Computer Workstations over an internal network. The User must have a Licence
for this Software Product for each Computer Workstation on which or from which
the Software Product is installed, used, connected, displayed or run.
6.
The
User is allowed to make one copy of the Software Product for archival purposes,
or transfer the Software Product to a single data medium, provided that the
User uses the original copy for archival purposes. The archival copy must be
provided with all the copyright-related data. Duplication of the printed
documentation provided with the Software Product is prohibited.
7.
The
User undertakes not to use the Software Product otherwise than in accordance
with this Agreement, and not to do so even for the User’s own needs, and thus
the User will not do (nor will the User allow anyone to do) in particular the
following:

Use
the Software Product on more Computer Workstations than the number of client
Licences legitimately held by the User.

Make
copies of the Software Product except as specified in this Agreement and
disseminate these copies.

In any
way analyse the Software Product, modify it, translate it into other
programming or national languages or into its source form, include it into
another software and disseminate products thus arising, derived from the
original Software Product, and in any way interfere with the internal structure
of the Software Product except as specified in this Agreement or allowed by
law.

Lend,
lease, transfer the rights granted or use the Software Product in any other
unauthorised manner.
Limited
Warranty
8.
DATASYS
provides a warranty of 90 days from the date of purchase within which DATASYS
warrants that the Software Product will perform in accordance with the user
documentation. During the aforementioned period the User must notify the User’s
vendor or DATASYS in writing of defects detected in the Software Product. In
this event, DATASYS, at its own discretion, will either replace the defective
Software Product or give the User a full refund once the User returns the
Software Product and the appropriate documentation.
9.
DATASYS
is not liable for any damage arising from the improper use of the Software
Product at variance with the terms and conditions specified in the user
documentation, nor does DATASYS guarantee the suitability of the Software
Product for a specific purpose. If the User or a third party sustains any
damage directly or indirectly because of using the Software Product, the
liability of DATASYS, if any, for this damage will expressly depend on its
being to blame for this damage and the damages, if any, will in no event exceed
the price of the Software Product.
Agreement Validity
10.
This
Agreement is valid unless the User violates the terms and conditions stated
herein. The Agreement becomes null and void automatically, without DATASYS
having to terminate the Agreement, once the User does anything at variance with
the provision(s) of this Agreement. This Agreement also becomes null and void
after a new version of the Software Product is delivered and a Licence
Agreement for this new version of the Software Product becomes valid. Once the
validity of this Agreement expires, the User is bound to stop using the
Software Product in any way.
